SUPPLIER TERMS & CONDITIONS

Platform: ATX Africa (Africa Tourism Exchange)

1. Introduction

These Supplier Terms & Conditions ("Supplier Terms") govern the registration, participation and use of ATX Africa by tour operators, Destination Management Companies (DMCs), tourism suppliers, accommodation providers, activity providers, transport providers and other eligible tourism businesses ("Supplier", "you" or "your").

ATX Africa ("ATX", "we", "us" or "our") is a digital tourism marketplace designed to connect tourism businesses across Africa with travellers, travel agents, tourism professionals, buyers and other potential customers.

By registering as a Supplier, creating a business profile, submitting tourism products or packages, or using Supplier features on ATX Africa, you agree to comply with these Supplier Terms together with ATX Africa's general Terms & Conditions, Privacy Policy and other applicable platform policies.

If you do not agree with these Supplier Terms, you should not register or use ATX Africa as a Supplier.


2. Eligibility to Become a Supplier

To register as a Supplier on ATX Africa, you must:

  • Operate a legitimate tourism-related business or organization.

  • Have the legal right and authority to offer the services, products or experiences you list.

  • Provide accurate business and contact information.

  • Comply with applicable laws, regulations, licensing requirements and industry standards in the countries where you operate.

  • Be authorized to represent the business or organization being registered.

ATX may request additional information or documentation where reasonably necessary to verify your business.


3. Supplier Registration and Account Information

When creating a Supplier account, you agree to provide complete, accurate and current information.

This may include:

  • Business or company name

  • Business registration details

  • Contact information

  • Business address

  • Website and social media information

  • Tourism licenses, certificates or other relevant documents

  • Description of your business

  • Tourism services and destinations offered

  • Authorized representative information

You are responsible for keeping your account information up to date.

You must not:

  • Register a business you are not authorized to represent.

  • Provide false or misleading information.

  • Create multiple accounts for the same business for the purpose of manipulating visibility or search results.

  • Impersonate another company, person or organization.


4. Supplier Verification

ATX Africa may request documents or information to verify the identity, legitimacy or operational status of a Supplier.

Depending on the type of business, ATX may request documents such as:

  • Business registration certificates

  • Tourism licenses

  • Operator licenses

  • Relevant professional certificates

  • Insurance documentation where applicable

  • Other documents reasonably required for verification

Submitting documents does not automatically guarantee approval.

ATX may review submitted information before activating a Supplier profile or tourism package on the marketplace.

Verification by ATX does not constitute a guarantee, certification or endorsement of the Supplier's services, financial condition, safety standards or performance.

Suppliers remain responsible for maintaining all licenses, permits, registrations and other legal requirements applicable to their business.


5. Supplier Profile

Suppliers are responsible for completing and maintaining an accurate business profile.

Your profile should contain information that helps potential customers and travel partners understand your business and services.

You should provide:

  • Accurate company information

  • Clear business descriptions

  • Relevant destinations

  • Appropriate contact information

  • Quality images

  • Relevant tourism services

  • Current package information

  • Accurate policies and terms where applicable

ATX may request changes to information that is incomplete, misleading, inappropriate or inconsistent with platform requirements.


6. Tour Packages and Tourism Products

Suppliers may create and publish tourism packages and other eligible tourism products through the ATX Africa platform.

Depending on the available platform features, package information may include:

  • Package title

  • Description

  • Destination

  • Tour category

  • Duration

  • Group size

  • Price

  • Availability

  • Itinerary

  • Included services

  • Excluded services

  • Accommodation information

  • Activities

  • Images and videos

  • Booking or inquiry requirements

  • Additional terms and conditions

All information submitted must be accurate and sufficiently detailed for customers and travel professionals to understand what is being offered.


7. Accuracy of Package Information

You are solely responsible for ensuring that information contained in your packages is accurate and current.

You must promptly update your package when there are material changes to:

  • Price

  • Availability

  • Itinerary

  • Accommodation

  • Transport

  • Activities

  • Inclusions or exclusions

  • Duration

  • Group size

  • Booking conditions

  • Cancellation policies

You must not advertise services that you do not actually provide or have authority to arrange.

ATX may remove, hide or request correction of packages containing inaccurate, misleading, incomplete or prohibited information.


8. Pricing and Availability

Suppliers are responsible for setting and maintaining their own prices and availability.

Prices displayed on ATX should accurately reflect the applicable price for the service or package, subject to clearly stated conditions.

If additional charges apply, they should be clearly communicated before a customer confirms a booking.

Suppliers should clearly identify, where applicable:

  • Taxes

  • Park or conservation fees

  • Accommodation supplements

  • Transport costs

  • Visa-related costs

  • Optional activities

  • Additional services

  • Other mandatory charges

ATX does not set the prices charged by independent Suppliers unless expressly stated for a particular platform service.


9. Bookings and Customer Inquiries

ATX may provide tools that allow travellers or travel professionals to submit inquiries, booking requests or other communications to Suppliers.

Depending on the service and booking flow, a customer may use features such as:

  • Quick Inquiry

  • Booking Request

  • Supplier messaging

  • Other communication or inquiry tools provided by ATX

Receiving an inquiry or booking request does not necessarily mean that a booking has been confirmed.

Suppliers are responsible for responding to inquiries accurately and within a reasonable period.

Where a booking requires confirmation by the Supplier, the Supplier is responsible for confirming or declining the request according to actual availability and applicable booking conditions.


10. Supplier-Customer Relationship

Unless expressly stated otherwise, the tourism service is provided by the Supplier and not by ATX.

The Supplier is responsible for:

  • Delivering the services described in the package.

  • Communicating accurate information to the customer.

  • Confirming availability.

  • Honouring confirmed arrangements.

  • Providing agreed services.

  • Communicating changes or cancellations.

  • Handling customer complaints relating to the Supplier's services.

  • Complying with applicable laws and regulations.

ATX provides the marketplace and communication infrastructure but does not take over the Supplier's operational responsibilities.


11. Payments and Transactions

Unless a specific ATX service states otherwise, ATX does not act as the tourism service provider or assume responsibility for the Supplier's service delivery.

Where customers pay Suppliers directly, the Supplier is responsible for:

  • Providing accurate payment instructions.

  • Issuing appropriate receipts or confirmations.

  • Applying applicable taxes and charges.

  • Handling refunds where required.

  • Managing payment disputes relating to its services.

Where ATX introduces or facilitates a payment service in the future, additional payment terms may apply.

Suppliers agree to comply with those terms when using such services.


12. ATX Subscription and Partner Plans

ATX Africa may offer different Supplier participation or subscription plans.

Available plans may include free and paid options with different package limits, features or visibility opportunities.

For example, ATX may offer:

  • Beginner — Free: Up to 3 packages

  • Professional — USD 50/month: Up to 50 packages

  • Professional Annual — USD 500/year: Up to 50 packages

  • Enterprise — Custom: Depending on agreed requirements and features

ATX may modify its plans, pricing, package limits or available features from time to time.

Any applicable subscription fee should be clearly communicated before purchase or renewal.

Payment of a subscription or participation fee does not guarantee:

  • A specific number of bookings

  • A specific number of inquiries

  • A specific search position

  • A specific amount of traffic

  • A specific level of revenue


13. Search Visibility and Rankings

ATX may organize Supplier profiles and packages in search results according to factors relevant to a customer's search.

These may include destination, category, package information, relevance, completeness, availability, pricing, attributes and other search criteria.

Suppliers acknowledge that:

  • Search position may change.

  • Search visibility is not guaranteed.

  • Paid participation does not automatically guarantee a particular ranking.

  • ATX may change its search and ranking systems.

  • Ranking does not constitute an endorsement or guarantee of service quality.

Suppliers should maintain complete, accurate and relevant profiles and packages to improve the usefulness of their listings to potential customers.


14. Supplier Content

You may upload or submit content to ATX, including:

  • Business descriptions

  • Package descriptions

  • Photographs

  • Videos

  • Logos

  • Itineraries

  • Pricing information

  • Destination information

  • Other marketing materials

You confirm that you have the necessary rights, permissions and authority to submit this content.

You must not upload content that:

  • Infringes copyright, trademarks or other intellectual property rights.

  • Contains false or misleading information.

  • Violates applicable laws.

  • Contains malicious software.

  • Is abusive, discriminatory, threatening or unlawful.

  • Promotes illegal activities.

  • Misrepresents another business or service.


15. License to Use Supplier Content

By submitting content to ATX, you grant ATX a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute and promote that content for the purpose of operating, marketing and improving ATX Africa.

This may include displaying your:

  • Business name

  • Logo

  • Package information

  • Photographs

  • Videos

  • Descriptions

  • Destination information

on ATX websites, digital channels, marketing materials and promotional campaigns.

You retain ownership of your intellectual property unless otherwise agreed.

You are responsible for ensuring that ATX's use of submitted content does not violate the rights of third parties.


16. Images, Videos and Copyright

Suppliers must only upload images, videos, logos and other media that they own or have permission to use.

If a third party claims that your content infringes its rights, you are responsible for addressing the claim.

ATX may remove disputed content while an issue is being reviewed.


17. Customer Reviews and Ratings

ATX may allow customers or other eligible users to submit reviews, ratings or feedback about Supplier services.

Suppliers must not:

  • Create fake reviews.

  • Pay or improperly incentivize customers to submit misleading reviews.

  • Manipulate ratings.

  • Create accounts to review their own business.

  • Threaten customers because of negative feedback.

  • Submit reviews pretending to be customers.

ATX may moderate, remove or restrict reviews that violate platform rules or applicable law.

ATX does not guarantee that reviews are accurate or representative of every customer's experience.


18. Supplier Communications

Suppliers may receive communications from customers, travel agents, tourism professionals or other users through ATX.

Suppliers agree to communicate professionally and lawfully.

You must not use ATX communication features to:

  • Send spam.

  • Harass users.

  • Send fraudulent offers.

  • Distribute malware.

  • Request unnecessary sensitive information.

  • Promote unrelated prohibited products or services.

  • Misrepresent your identity or services.


19. Prohibited Supplier Practices

Suppliers must not use ATX Africa to:

  1. Publish fraudulent or misleading tourism products.

  2. Advertise services they cannot provide.

  3. Manipulate search results or platform functionality.

  4. Create fake accounts or fake reviews.

  5. Copy another Supplier's content without permission.

  6. Misuse customer information.

  7. Engage in illegal or fraudulent transactions.

  8. Circumvent platform security.

  9. Upload malicious code or harmful files.

  10. Harass, threaten or discriminate against users.

  11. Use ATX to facilitate unlawful activities.

  12. Misrepresent licenses, certifications or business credentials.

  13. Use ATX information for unauthorized bulk marketing or data collection.


20. Customer Data and Privacy

Suppliers may receive personal information from customers when they make inquiries or booking requests.

Suppliers must handle such information responsibly and in accordance with applicable privacy and data protection laws.

Supplier information obtained through ATX should only be used for legitimate purposes connected to the relevant inquiry, booking or business relationship.

Suppliers must not sell, misuse or unlawfully disclose customer information.

Where applicable, Suppliers should maintain their own privacy policies and data protection procedures.


21. Cancellations, Refunds and Changes

Suppliers are responsible for clearly communicating their cancellation, refund and amendment policies.

Where a customer has entered into a booking agreement with a Supplier, the Supplier is responsible for applying the applicable terms.

If a Supplier cannot deliver a confirmed service, the Supplier should promptly notify the affected customer and take reasonable steps to resolve the matter in accordance with the agreed booking conditions and applicable law.

ATX may assist with communication or platform-related issues but does not automatically assume responsibility for refunds or compensation owed by an independent Supplier.


22. Supplier Responsibility and Liability

Suppliers are responsible for their businesses, employees, representatives, vehicles, guides, accommodation arrangements, activities, equipment and other services they provide or arrange.

You are responsible for ensuring that your services comply with applicable safety, licensing, insurance, environmental, consumer protection and tourism requirements.

ATX is not responsible for the operational performance of an independent Supplier.


23. Verification Does Not Guarantee Performance

Supplier verification, profile approval or package activation by ATX does not constitute a guarantee that:

  • The Supplier will always provide satisfactory services.

  • A Supplier is financially stable.

  • A Supplier will never cancel a booking.

  • A particular package is suitable for every customer.

  • A Supplier complies with every requirement in every jurisdiction.

Customers and travel professionals should review Supplier information and applicable booking terms before making arrangements.


24. Package Review and Activation

ATX may review submitted Supplier profiles and packages before making them publicly visible.

A package may remain in a pending, hidden or inactive status until ATX completes its review or required activation process.

ATX may:

  • Approve a package.

  • Request changes.

  • Reject a package.

  • Temporarily hide a package.

  • Remove a package.

  • Deactivate a Supplier account where permitted under these Terms.

ATX does not guarantee that every submitted package will be approved or published.


25. Account Suspension and Termination

ATX may suspend, restrict, hide or terminate a Supplier account where reasonably necessary, including where:

  • The Supplier violates these Supplier Terms.

  • Information provided is false or misleading.

  • Required verification documents are not provided.

  • A Supplier engages in fraudulent activity.

  • A Supplier repeatedly receives serious complaints.

  • A Supplier misuses customer information.

  • A Supplier attempts to manipulate the platform.

  • A Supplier fails to meet applicable payment obligations.

  • The Supplier engages in unlawful activity.

  • Continued access creates a security, legal or operational risk.

Where appropriate, ATX may provide the Supplier with an opportunity to correct the issue before taking action.


26. Removal of Packages

ATX may remove or hide an individual package without terminating the Supplier's entire account.

This may occur where a package:

  • Contains inaccurate information.

  • Violates applicable law.

  • Violates ATX policies.

  • Creates a misleading customer experience.

  • Contains unauthorized copyrighted material.

  • Is no longer available.

  • Creates a security or compliance concern.


27. Supplier Cancellation of Participation

A Supplier may request to stop using ATX Africa or cancel a paid subscription according to the applicable subscription terms.

Cancellation of participation does not automatically remove obligations that arose before cancellation.

Outstanding payments, customer commitments, intellectual property rights, privacy obligations and other provisions intended to survive termination may continue to apply.


28. No Guarantee of Bookings or Revenue

ATX provides a marketplace and digital tools intended to help tourism businesses gain visibility and connect with potential customers and travel partners.

However, ATX does not guarantee:

  • A minimum number of visitors.

  • A minimum number of inquiries.

  • A minimum number of bookings.

  • A specific revenue level.

  • A particular conversion rate.

  • A particular search ranking.

Results may vary depending on destination, demand, pricing, package quality, seasonality, market conditions and other factors.


29. Third-Party Services

Suppliers may use third-party services, payment providers, communication tools, booking systems or other external services in connection with their business.

Suppliers are responsible for understanding and complying with the terms applicable to those third-party services.

ATX is not responsible for the independent operation, availability or policies of third-party services unless expressly stated otherwise.


30. Intellectual Property of ATX

ATX Africa's platform, branding, software, design, text, graphics, logos and other proprietary materials may be protected by intellectual property laws.

Suppliers may not copy, reproduce, modify, distribute, sell or commercially exploit ATX materials without appropriate authorization.

Use of ATX does not transfer ownership of ATX intellectual property to the Supplier.


31. Platform Availability

ATX aims to maintain reliable access to its platform but does not guarantee that the platform will always be available, uninterrupted or error-free.

The platform may occasionally be unavailable due to:

  • Maintenance

  • Technical problems

  • Security issues

  • Updates

  • Third-party service interruptions

  • Internet or infrastructure failures

  • Circumstances outside ATX's reasonable control


32. Indemnification

To the extent permitted by applicable law, Suppliers agree to indemnify and hold ATX, its owners, operators, employees and representatives harmless from claims, losses, liabilities, damages, costs or expenses arising from:

  • The Supplier's services.

  • The Supplier's breach of these Supplier Terms.

  • Inaccurate or misleading Supplier information.

  • Infringement of third-party rights.

  • Supplier negligence or misconduct.

  • Violations of applicable law.

  • Disputes between the Supplier and its customers.


33. Limitation of Liability

To the maximum extent permitted by applicable law, ATX shall not be responsible for indirect, incidental, consequential or special losses arising from:

  • A Supplier's services.

  • Customer or Supplier disputes.

  • Lost bookings or revenue.

  • Supplier cancellations.

  • Inaccurate information supplied by a Supplier.

  • Third-party service failures.

  • Temporary platform interruptions.

Nothing in these Supplier Terms is intended to exclude liability that cannot legally be excluded under applicable law.


34. Changes to Supplier Terms

ATX may update these Supplier Terms from time to time to reflect changes to:

  • The ATX platform.

  • Supplier services.

  • Legal or regulatory requirements.

  • Business practices.

  • Security requirements.

Updated Supplier Terms will be published on the ATX Africa platform with an updated effective date where appropriate.

Continued use of ATX after updated terms become effective constitutes acceptance of the updated terms, subject to applicable law.


35. Governing Law and Disputes

These Supplier Terms and the Supplier's use of ATX Africa shall be governed by the applicable laws of the United Republic of Tanzania, subject to any mandatory legal rights that may apply.

Where a dispute arises between ATX and a Supplier concerning the use of the platform, the parties should first attempt to resolve the matter through good-faith communication.

Where a dispute cannot be resolved amicably, the matter may be referred to the competent courts of the United Republic of Tanzania, subject to applicable law.


36. Relationship Between ATX and Suppliers

Nothing in these Supplier Terms creates a partnership, joint venture, employment relationship, agency relationship or franchise relationship between ATX and a Supplier unless expressly agreed in writing.

Suppliers operate their own independent businesses.

Listing services on ATX does not make ATX the owner, operator or provider of those services.


37. Entire Agreement

These Supplier Terms, together with the applicable ATX Africa Terms & Conditions, Privacy Policy and other applicable platform policies, constitute the agreement governing the Supplier's use of the ATX platform.

Where there is a conflict between these Supplier Terms and a specific written agreement between ATX and a Supplier, the specific written agreement may take precedence to the extent stated in that agreement.


38. Severability

If any provision of these Supplier Terms is found to be invalid or unenforceable under applicable law, the remaining provisions will continue to apply to the extent permitted by law.


39. Contact and Supplier Support

If you have questions about these Supplier Terms, your Supplier account, package submission, verification or other ATX Supplier matters, please contact ATX Africa through the official contact channels provided on the platform.
