Welcome to ATX Africa.

These Terms & Conditions (“Terms”) govern your access to and use of the ATX Africa website, marketplace, digital services and related platform features (collectively, the “Platform”).

ATX Africa (“ATX”, “we”, “us”, or “our”) provides a digital marketplace designed to connect travellers, travel agents, tourism professionals and other buyers with tourism businesses and service providers across Africa.

By accessing, browsing, registering for an account, submitting an inquiry, communicating with a supplier, or otherwise using the Platform, you agree to these Terms.

If you do not agree with these Terms, please do not use the Platform.

1. About ATX Africa

ATX Africa (Africa Tourism Exchange) is a tourism marketplace that helps connect tourism businesses with travellers, travel agents, tourism professionals and other potential buyers.

The Platform may include listings and services provided by independent third-party businesses, including tour operators, destination management companies (DMCs), accommodation providers, activity providers, transport businesses and other tourism-related businesses.

Unless expressly stated otherwise, ATX Africa does not itself operate, own, manage or provide the third-party tours, accommodation, transportation, activities or other travel services displayed by suppliers on the Platform.

ATX provides the technology and marketplace environment through which users can discover tourism businesses, explore packages and communicate with relevant suppliers.

2. Acceptance of These Terms

By using ATX Africa, you confirm that:

• You have read and understood these Terms.

• You agree to comply with these Terms.

• You will use the Platform lawfully and responsibly.

• Any information you provide to ATX is accurate and current.

• You will not use the Platform for fraudulent, unlawful or misleading purposes.

If you are using the Platform on behalf of a company or organization, you confirm that you have the authority to accept these Terms on its behalf.

3. Eligibility

You must be at least 18 years old to create an account on ATX Africa unless applicable law permits otherwise.

By creating an account, you confirm that you meet the applicable eligibility requirements.

ATX may restrict or refuse account registration where we reasonably believe that an account has been created using false information, for an unlawful purpose, or in violation of these Terms.

4. User Accounts

Some features of ATX Africa may require you to create an account.

You are responsible for:

• Providing accurate registration information.

• Keeping your login credentials confidential.

• Maintaining the security of your account.

• Not allowing unauthorized persons to use your account.

• Informing ATX if you believe your account has been compromised.

You are responsible for activities carried out through your account unless the activity resulted from circumstances outside your reasonable control.

ATX may suspend or restrict an account where there is evidence of unauthorized access, misuse, fraud, abuse or violation of these Terms.

5. Tourism Listings and Third-Party Services

ATX Africa may display tourism products, packages, services, company profiles and other information submitted by independent tourism businesses.

Each supplier is responsible for the services it offers and for the accuracy of the information it provides.

ATX does not guarantee that every third-party listing:

• Is suitable for every traveller.

• Will always be available.

• Will remain at the advertised price.

• Will meet a user's individual expectations.

• Is free from errors or omissions.

• Will be available on the requested travel dates.

Users should review the relevant supplier's information carefully and communicate directly with the supplier when clarification is required.

6. Bookings, Inquiries and Transactions

ATX Africa may provide tools that allow users to discover packages, submit inquiries, communicate with suppliers and, where applicable, initiate booking requests.

Unless ATX expressly states otherwise, ATX is not the provider of the underlying tourism service.

Where a traveller, travel agent or other buyer enters into a booking or service arrangement with a supplier, the relevant supplier is responsible for providing the agreed tourism service.

This may include responsibility for:

• Booking confirmation.

• Availability.

• Pricing.

• Payment arrangements.

• Travel arrangements.

• Accommodation.

• Transportation.

• Activities.

• Cancellations.

• Refunds.

• Changes to itineraries.

• Delivery of the purchased service.

Users should carefully review the supplier's booking terms, cancellation conditions and payment requirements before confirming a transaction.

7. Payments and Fees

Certain ATX services or partner plans may require payment.

Where applicable, the price, billing frequency and applicable conditions will be displayed before payment or subscription.

ATX may offer free and paid options for eligible tourism businesses. Available plans and features may change over time.

Unless otherwise stated in a specific agreement or required by applicable law:

• Fees must be paid according to the applicable billing terms.

• Users are responsible for providing accurate payment information.

• Taxes or other applicable charges may apply.

• ATX may update pricing and available plans from time to time.

Any refund or cancellation rights will be governed by the applicable plan, agreement, refund policy and applicable law.

8. User Content

Users may submit information, images, descriptions, reviews, inquiries and other content to ATX Africa (“User Content”).

You remain responsible for the User Content you submit.

By submitting User Content, you confirm that:

• You have the right to submit the content.

• The content is accurate to the best of your knowledge.

• The content does not unlawfully infringe another person's rights.

• The content does not contain fraudulent or misleading information.

• The content does not violate applicable laws.

• The content does not contain malicious software or harmful code.

You grant ATX Africa a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, format and distribute your User Content as reasonably necessary to operate, promote and improve the Platform.

ATX may remove or restrict User Content that violates these Terms or applicable law.

9. Reviews, Ratings and Public Information

Where ATX provides review or rating features, users must provide honest and genuine feedback based on their actual experience.

Users must not:

• Create fake reviews.

• Submit reviews on behalf of another person without authorization.

• Manipulate ratings.

• Offer or accept payment in exchange for misleading reviews.

• Use reviews to harass or unfairly harm another user or business.

ATX may moderate, remove or restrict reviews and other content where reasonably necessary to maintain the integrity of the Platform.

10. Prohibited Use

You must not use ATX Africa to:

• Commit or facilitate fraud.

• Provide false or misleading information.

• Promote illegal activities.

• Upload content that infringes intellectual property rights.

• Attempt to gain unauthorized access to another account or ATX systems.

• Introduce malware, viruses or harmful code.

• Spam or harass other users.

• Manipulate search results, rankings, reviews or platform functionality.

• Impersonate another person, company or organization.

• Use the Platform for activities that violate applicable laws.

• Circumvent security, verification or access controls.

• Collect or misuse another user's personal information without authorization.

ATX may take appropriate action where prohibited activity is identified.

11. Search Results and Rankings

ATX Africa may use search, filtering and ranking systems to help users discover relevant tourism businesses, packages and experiences.

Search results may be influenced by factors such as:

• Search criteria.

• Destination.

• Category.

• Package information.

• Availability.

• Price information.

• Listing completeness.

• Relevant attributes.

• Other information available within the Platform.

Search results may change as listings and platform information are updated.

Participation in a paid ATX plan does not necessarily guarantee a particular position in search results unless ATX expressly states otherwise.

12. Verification and Platform Trust

ATX may request information or documentation from tourism businesses for verification or platform integrity purposes.

Verification may help users identify businesses that have completed applicable ATX verification requirements.

However, verification does not constitute a guarantee, certification or warranty by ATX regarding the quality, legality, safety or performance of a supplier's services unless expressly stated otherwise.

Users should conduct their own appropriate checks before entering into significant transactions.

13. Intellectual Property

The ATX Africa name, logo, branding, website design, software, platform functionality and original ATX content are owned by or licensed to ATX Africa and may be protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, publish, reverse engineer or create derivative works from ATX-owned materials without prior written permission, except where permitted by law.

Supplier and user content remains subject to the rights of the relevant owner, subject to the licence granted to ATX under these Terms.

14. Third-Party Links and Services

The Platform may contain links to third-party websites, payment services, social media platforms or other external services.

ATX does not control third-party websites or services and is not responsible for their content, availability, security, policies or practices.

Your use of third-party services may be subject to separate terms and privacy policies.

15. Availability of the Platform

ATX Africa aims to maintain a reliable Platform but does not guarantee that the Platform will always be available, uninterrupted or error-free.

The Platform may occasionally be unavailable because of:

• Maintenance.

• Updates.

• Technical problems.

• Security measures.

• Third-party service interruptions.

• Events beyond our reasonable control.

ATX may modify, suspend or discontinue parts of the Platform where reasonably necessary.

16. Limitation of Liability

To the maximum extent permitted by applicable law, ATX Africa and its officers, directors, employees, agents and representatives will not be liable for indirect, incidental, special, consequential or punitive losses arising from or relating to:

• Use of the Platform.

• Inability to access the Platform.

• Third-party tourism services.

• Supplier conduct.

• Booking disputes between users and suppliers.

• Travel cancellations or changes.

• Loss of profits, revenue, business opportunities or data.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless ATX Africa and its officers, directors, employees and agents from claims, losses, liabilities, damages and reasonable expenses arising from:

• Your violation of these Terms.

• Your unlawful use of the Platform.

• Your User Content.

• Your infringement of another person's rights.

• Your transactions or disputes with third-party suppliers or users.

18. Account Suspension and Termination

ATX may suspend, restrict or terminate access to an account or the Platform where reasonably necessary, including where:

• These Terms are violated.

• Fraudulent or unlawful activity is suspected.

• False or misleading information is provided.

• Platform security is threatened.

• The account is used to harm other users.

• A payment obligation is not met where applicable.

• Continued access creates a legal, security or operational risk.

Where appropriate and reasonably possible, ATX may provide notice before taking action. However, immediate suspension may occur where necessary to protect users, the Platform or ATX's legal or security interests.

Termination does not automatically cancel obligations that arose before termination.

19. Privacy

ATX Africa's collection and use of personal information is governed by our Privacy Policy.

By using the Platform, you acknowledge that your information may be processed as described in the applicable Privacy Policy.

Users should review the Privacy Policy for information about data collection, use, storage and rights.

20. Changes to the Platform

ATX Africa may update, modify, add or remove Platform features from time to time.

We may also change available plans, features, functionality or requirements as the Platform develops.

Where changes materially affect these Terms, ATX may update the Effective Date and provide notice where required by applicable law.

21. Changes to These Terms

ATX may update these Terms from time to time.

The latest version will be published on this page with an updated Effective Date.

Your continued use of the Platform after updated Terms become effective may constitute acceptance of the revised Terms, to the extent permitted by applicable law.

If you do not agree with the revised Terms, you should discontinue use of the Platform.

22. Governing Law and Disputes

These Terms and your use of the Platform shall be subject to the applicable laws of the jurisdiction specified by ATX Africa, subject to any mandatory legal rights that apply to you.

Where a dispute arises concerning use of the Platform, the parties should first attempt to resolve the matter through good-faith communication.

Nothing in this section prevents a user from exercising rights that cannot lawfully be excluded under applicable law.

23. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary, and the remaining provisions shall continue to apply to the extent permitted by law.

24. No Waiver

If ATX does not immediately enforce a provision of these Terms, this does not mean that ATX has waived its right to enforce that provision later.

25. Entire Agreement

These Terms, together with the applicable Privacy Policy, Cookie Policy, Supplier Terms and other policies or agreements expressly incorporated into the Platform, form the applicable agreement governing your use of ATX Africa, except where a separate written agreement expressly applies.
